Terms of Service

1. Acceptance of Terms

By accessing and using GTM Scale's services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

GTM Scale provides go-to-market strategy consulting services including but not limited to:

• Market sizing and opportunity analysis
• Customer research and competitive intelligence
• Value proposition development
• Go-to-market strategy development and implementation
• Sales enablement and training

3. Use License

Permission is granted to temporarily download one copy of the materials on GTM Scale's website for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

• Modify or copy the materials
• Use the materials for any commercial purpose or for any public display
• Attempt to reverse engineer any software contained on the website
• Remove any copyright or other proprietary notations from the materials

4. Client Responsibilities

As a client of GTM Scale, you agree to:

• Provide accurate and complete information necessary for service delivery
• Participate actively in scheduled meetings and consultations
• Provide timely feedback and approvals as requested
• Respect confidentiality agreements and intellectual property rights
• Make payments according to agreed terms and schedules

5. Payment Terms

Payment terms will be specified in individual service agreements. Generally:

• Invoices are due within 30 days of receipt
• Late payments may incur additional charges
• Services may be suspended for non-payment
• All prices are exclusive of applicable taxes

6. Confidentiality

Both parties agree to maintain strict confidentiality regarding all proprietary information shared during the course of our engagement. This includes but is not limited to:

• Business strategies and plans
• Financial information and projections
• Customer lists and market data
• Proprietary methodologies and frameworks

7. Intellectual Property

All work products, methodologies, frameworks, and deliverables created specifically for your project remain your property upon full payment. However, GTM Scale retains rights to:

• General methodologies and frameworks used across multiple clients
• Proprietary tools and templates
• Case studies and anonymized insights (with your permission)

8. Limitation of Liability

In no event shall GTM Scale, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the service.

9. Indemnification

You agree to defend, indemnify, and hold harmless GTM Scale and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees).

10. Termination

We may terminate or suspend your access immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the service will cease immediately.

11. Governing Law

These Terms shall be interpreted and governed by the laws of the Philippines. Any dispute relating to these terms will be subject to the jurisdiction of the courts in Makati City, Philippines.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

15. Entire Agreement

These Terms constitute the sole and entire agreement between you and GTM Scale with respect to the website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.
